Corporate Terms

1. Quote and contract

• The company asks for a quote, for example through the form on the DoWell for Companies page
• DoWell prepares a contract that sets the plans, the number of seats and the price of each seat
• The company approves the contract in its DoWell account. No employee can be enrolled before it is approved

2. Seats

The company enrols its employees; each enrolled employee takes one seat. A seat gives that employee a DoWell subscription at the tier set in the contract. The employee uses the DoWell app like any member: entrance QR code, one paid visit per gym per day.

A seat becomes active only once the invoice that covers it has been paid in full. A seat is personal and cannot be shared.

3. Invoices

• DoWell invoices the seats for each billing period
• Each invoice lists the seats it covers and their price, fixed when the invoice is issued
• Invoice numbers are sequential and without gaps within each year; an issued invoice is never edited, and a correction is made with a credit note
• Invoices include VAT at the applicable rate and the stamp duty where the law requires it

4. Payment

Invoices are paid by bank transfer to the DoWell account shown on the invoice. The company can upload the transfer receipt in its account. A payment counts once DoWell has confirmed that the money arrived; an invoice paid only in part does not activate its seats.

5. Late payment and suspension

If an invoice is not paid by its due date, a grace period applies (14 days by default). When it ends, the seats covered by the invoice are suspended and the employees concerned can no longer check in. The seats are reinstated once the invoice is paid.

6. Employee data

The company gives DoWell the name and email address of each employee it enrols, and must have the right to do so. DoWell processes this data as described in its Privacy Policy. The company sees what it needs to manage its seats, such as whether each seat is active.

7. Duration and termination

The duration of the contract, the addition or removal of seats and the notice period are set in the contract. Invoices issued before the contract ends remain payable.

8. Governing law

These terms are governed by the laws of Tunisia. Any dispute shall be brought before the competent courts of Tunisia.
