Gym Partner Terms

1. Joining the network

A gym joins the network by signing an agreement with DoWell. A gym is shown on the DoWell website and app only once it has signed.

DoWell places the gym in a tier (Normal, Premium or Gold). The tier decides which members can enter: members whose subscription includes that tier, including members of a higher tier.

2. Check-in at the entrance

Members enter by scanning the gym’s entrance QR code with the DoWell app. DoWell checks the subscription at that moment, and records the check-in.

Only check-ins recorded this way count. DoWell does not accept check-ins added by hand.

3. What counts as a paid visit

One paid visit per member per gym per calendar day, in the local time of the market. A second scan by the same member at the same gym on the same day is refused and is not counted.

4. How payouts are calculated

The agreement sets two numbers: the price of one block, and how many check-ins one block covers. For each payout period, check-ins are grouped into blocks and every block started is paid in full. For example, with blocks of 20 check-ins, 25 check-ins make 2 blocks.

The terms in force at the start of a period apply to the whole period; a change applies from the next period. The agreement may also set a maximum amount per payout.

5. Verification and payout holds

DoWell pays only to verified bank details. Before its first payout, the gym provides the documents that identify the business and its bank details (IBAN and account holder), and DoWell verifies them.

• Payouts are held while the verification is pending or if it is refused
• When the bank details change, payouts are held again until the new details are verified
• Held payouts are released once the verification is complete

6. Statements, payment and disputes

• Each payout comes with a statement that shows the period, the check-ins, the blocks and the amount, available from the gym’s DoWell account
• DoWell pays by bank transfer to the verified account and records the bank’s transfer reference
• If the gym disagrees with a payout, it can raise a dispute on that payout from its account; DoWell reviews it and answers

7. Cash at the front desk

A member can pay a DoWell subscription in cash at the gym’s front desk. The gym’s staff confirm the payment in DoWell, which starts the member’s subscription. This cash is collected on DoWell’s behalf and is deducted from the gym’s payouts.

If such a payment must be refunded, the gym that collected the cash refunds the member and records the refund in DoWell, and the deduction is reversed.

8. The gym’s commitments

• Keep its information on DoWell accurate: address, opening hours, amenities and photos
• Admit members whose check-in DoWell has accepted, during opening hours, as set out in the agreement
• Apply its house rules fairly, and keep its premises and equipment safe and insured as the law requires
• Use members’ personal data only to manage their access, and never for another purpose
• Manage its staff accounts in the DoWell Gym app and remove those of people who leave

9. Duration and termination

The duration and the notice period are set in the agreement. When the agreement ends, the gym is removed from the website and the app, and the check-ins recorded until the end date are paid according to these terms.

10. Liability

Each party is responsible for its own acts. The gym is responsible for its premises, its equipment and its staff; DoWell is responsible for the platform, the check-in and the calculation of payouts.

11. Governing law

These terms are governed by the laws of Tunisia. Any dispute shall be brought before the competent courts of Tunisia.
